These Terms of Use (“Terms”) govern your access to and use of the websites and online materials operated by Scypio Inc. (“Scypio,” “we,” “us,” or “our”), including [https://www.scypio.com] (the “Site”) and any content, resources, or services made available through it (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Services.

1) Eligibility & accounts

You must be the age of majority in your jurisdiction and have legal capacity. If you create an account or subscribe to updates, you must provide accurate information and keep it current. You’re responsible for safeguarding your credentials and all activity under your account.

2) Permitted use

You may access and use the Services for lawful internal business purposes only, subject to these Terms and all applicable laws.

3) Prohibited conduct

You agree not to:

  • Copy, modify, distribute, or create derivative works from the Services except as expressly permitted.
  • Reverse engineer, decompile, or attempt to extract source code from any software that is part of the Services.

4) Intellectual property

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. No other rights are granted.

5) User content & feedback

If you submit content (e.g., comments, testimonials, case-study inputs), you grant Scypio a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, host, reproduce, modify, and display such content for operating, improving, and promoting the Services.
If you provide feedback or suggestions, we may use them without restriction or compensation.

You represent that you own or have permission to submit any content, and that it does not infringe others’ rights.

6) Third-party services & links

The Services may reference third-party sites, tools, or resources. We are not responsible for their content, availability, or practices. Use them at your own risk and subject to their terms.

7) Informational nature; no advice

Content on the Services is for general informational purposes only and does not constitute legal, financial, accounting, technical, or other professional advice. You should obtain advice tailored to your situation.

8) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCYPIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCYPIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF CAD $100 OR THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

10) Indemnification

You agree to defend, indemnify, and hold harmless Scypio and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services or violation of these Terms.

11) Changes to the Services and Terms

We may modify or discontinue all or part of the Services at any time. We may update these Terms by posting the revised version with a new “Last updated” date. Your continued use after changes become effective constitutes acceptance.

12) Governing law & venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario, for any dispute not subject to arbitration (if applicable).

13) Miscellaneous

  • Severability: If any provision is unenforceable, the rest remains in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale.
  • Entire agreement: These Terms, together with the Privacy and Cookie Policies, are the entire agreement between you and us regarding the Services.
